LogicCommons Terms of Use
Last updated: (effective on launch)
These Terms of Use are a legal agreement between you and Pagos, Inc. ("Pagos", "we"), 75 Second Avenue Suite 605, Needham, MA 02494, USA, governing your use of logiccommons.com and its subdomains, including the API and MCP endpoints (together, the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. What LogicCommons is
LogicCommons publishes interactive calculators and computational models ("Calculators"), together with explanatory content, version histories, and review provenance.
2. Informational use only: no professional advice
THE CALCULATORS AND ALL CONTENT ARE PROVIDED FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. THEY ARE NOT ENGINEERING, ARCHITECTURAL, FINANCIAL, INVESTMENT, TAX, MEDICAL, OR LEGAL ADVICE, AND NO RESULT CONSTITUTES A DESIGN, SPECIFICATION, RECOMMENDATION, OR PROFESSIONAL OPINION. RESULTS MUST BE INDEPENDENTLY VERIFIED BY A QUALIFIED, LICENSED PROFESSIONAL BEFORE ANY RELIANCE, AND ANY USE IN A REAL DESIGN, TRANSACTION, OR DECISION IS AT YOUR SOLE RISK. USE OF THE SERVICE CREATES NO ENGINEER-OF-RECORD, ADVISOR-CLIENT, OR OTHER PROFESSIONAL RELATIONSHIP WITH PAGOS OR WITH ANY CONTRIBUTOR OR REVIEWER.
3. Trust tiers and provenance
Trust tiers, changelogs, reviewer credits, and validation summaries describe the review provenance of a Calculator. They are informational statements about process, not certifications, warranties, endorsements, or professional seals, and they do not modify Section 2.
4. Intellectual property: what is open and what is reserved
(a) Calculator models. Each Calculator is computed from a source spreadsheet model file. Those model files are maintained under the Apache License, Version 2.0 (canonical text at apache.org/licenses/LICENSE-2.0), and provenance metadata, including the API and MCP endpoints, may state that license as a fact about the file. LogicCommons does not currently offer the model files for download, and these Terms grant no right to obtain them. If they are offered in the future, that offering and its governing license will be described here at that time. Where a model file is obtained, the license, not these Terms, governs it; it is provided WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, and each recipient is solely responsible for determining the appropriateness of using the work and assumes all associated risks, as the license states.
(b) Site content. Explanatory articles, worked examples, and FAQs are licensed under the Creative Commons Attribution 4.0 International license (CC BY 4.0): you may share and adapt them with attribution to LogicCommons and a link to the source page. (c) Reserved. The LogicCommons name, logos, site design, software, and the compilation of the catalog are the property of Pagos or its licensors; no rights are granted except as stated in (a) and (b). Trust-tier badges may not be reproduced to describe anything other than the Calculator and version they were issued for.
5. Automated access, API, and MCP
Automated and AI-agent access is welcome through the published API and MCP endpoints, subject to the rate limits and usage rules published at /mcp. Scraping, crawling for content extraction, or automated interaction with the HTML pages (other than standard search indexing) is prohibited; the machine endpoints exist so you do not need to. We may throttle, suspend, or block access that exceeds published limits, imposes unreasonable load, or circumvents technical controls. The endpoints are provided without any availability or uptime warranty. When output from the Service is presented to end users by your application or agent, we ask that you retain the provided attribution and canonical link. Sections 2 and 3 apply fully to results obtained through the API or MCP.
6. No advertising
The Service currently displays no advertising. If advertising is introduced in the future, it will be disclosed in these Terms and the Privacy Policy, and advertisers will not influence Calculator logic, content, review outcomes, or trust tiers.
7. Feedback
Feedback submitted through the Service may be used by Pagos without restriction or compensation to operate and improve the Service. Do not submit confidential information, personal data beyond the form's fields, or content you lack rights to. Submissions are moderated and may be removed at our discretion.
8. Contributions: not yet in effect
This section takes effect only if and when community contribution features launch. At that time, registered editors who upload modified Calculator files: (a) license their contribution under the Calculator's stated open-source license; (b) represent they own or have rights to every element contributed and that it reproduces no third-party proprietary content, including tables or figures from published standards; (c) accept that acceptance, rejection, versioning, credit, and display (named or generalized credential) follow the platform's published review process; and (d) receive no compensation. Pagos may remove or revert any contribution.
9. Acceptable use
You will not: use the Service for unlawful purposes; attempt to breach, probe, or circumvent security or rate limits; misrepresent outputs, tiers, or provenance; artificially inflate or manipulate any rating or metric; impose unreasonable load; or interfere with others' use. We may suspend or block access for violations, with or without notice.
10. Copyright and trademark complaints (DMCA)
Notices of claimed infringement, with the elements required by 17 U.S.C. § 512(c)(3), go to Pagos's designated agent: Pagos, Inc., 75 Second Avenue Suite 605, Needham, MA 02494, USA; admin@pagos.com. We may remove material and, where appropriate, terminate access for repeat infringers. Knowing material misrepresentation may create liability under Section 512(f).
11. Disclaimer of warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PAGOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. PAGOS USES REASONABLE EFFORTS REGARDING ACCURACY BUT MAKES NO REPRESENTATION THAT ANY RESULT IS CORRECT, CURRENT WITH ANY CODE OR STANDARD, OR SUITABLE FOR ANY PURPOSE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PAGOS AND ITS DIRECTORS, EMPLOYEES, LICENSORS, CONTRIBUTORS, AND REVIEWERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM OR RELATING TO THE SERVICE OR ANY RESULT, EVEN IF ADVISED OF THE POSSIBILITY. PAGOS'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF US $100 AND THE AMOUNTS YOU PAID TO PAGOS FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain exclusions; those limits apply to the extent permitted.
13. Indemnification
You will indemnify Pagos and its affiliates against losses arising from your breach of these Terms, your contributions, or your reliance on or professional use of any result contrary to Section 2.
14. Export compliance
You will comply with applicable U.S. export control and sanctions laws and represent that you are not located in an embargoed jurisdiction or on any restricted-party list under current law.
15. Governing law; disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts rules.
Arbitration and class waiver. Except for matters within small-claims-court jurisdiction and claims for injunctive relief, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted remotely or in Delaware. YOU AND PAGOS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing info@pagos.com with your name and the statement that you opt out of arbitration. For any matter not subject to arbitration, venue lies exclusively in the state or federal courts in Delaware, and each party consents to their jurisdiction; Pagos may seek injunctive relief in any competent court.
16. Changes; general
We may update these Terms; material changes will be noticed on the site, and continued use after notice constitutes acceptance. If any provision is unenforceable, the remainder stands. No waiver is effective unless in writing. These Terms are the entire agreement regarding the Service. Contact: info@pagos.com.
